These Terms of Sale (the « Terms ») govern all services offered by NStudio: website and application development, hosting and maintenance, digital marketing services, domain names and professional email.

They apply to any order placed with NStudio and supplement the purchase order, hosting contract or marketing services agreement signed by the client. In case of conflict, the specific terms of the signed document prevail over these Terms.

Any order implies full and unreserved acceptance of these Terms.

Services are provided by NStudio, a web agency based in Quebec.

Each project is subject to a detailed quote or purchase order. The purchase order is valid for 30 days from its issue date.

Work begins only after the applicable document is signed and the required deposit is received.

All prices are in Canadian dollars (CAD). Applicable taxes (GST 5% and QST 9.975%) are added to the amounts shown.

Creation packages are one-time fees payable 50% on signing and 50% on delivery. Installment payment (a 40% deposit then the balance split over 2 to 4 payments) may be agreed; a schedule of more than 3 payments may be subject to an agreed surcharge.

The client agrees to provide all content (text, images, logo) within 5 business days of signing. The delivery time begins upon receipt of the deposit AND all content; any delay in providing content postpones the delivery date accordingly.

Three (3) revision cycles are included. A revision is a set of changes submitted at one time; requests sent separately count as distinct revisions. Any additional revision is billed at $75/h.

If the client cancels after work has begun, the deposit is non-refundable; if the work completed exceeds the deposit value, the client pays the difference.

The site remains the property of NStudio and is neither transferred nor published until the balance is paid in full.

Hosting and maintenance are provided as an annual package billed on the contract anniversary date, combining hosting, domain name and email on a single invoice. The annual option is equivalent to 2 months free.

The package includes: managed hosting and SSL certificate, automatic backups, uptime monitoring, security updates (CMS, plugins, components) and minor fixes up to 2 h/year for a showcase site or 4 h/year for e-commerce. Beyond these hours, or for any addition of content, design or functionality, work is billed at $75/h as agreed.

The contract is valid for one (1) year and renews automatically. A renewal invoice is sent about 30 days before the due date; its payment constitutes acceptance of the terms for the new period, with no new signature. A client who does not wish to renew must notify NStudio in writing (email accepted) before the due date.

Any change to pricing or terms is communicated in writing at least 30 days before it takes effect; payment of the invoice following this notice constitutes acceptance of the new terms.

In case of non-renewal or termination, NStudio is not required to keep the site files beyond 30 days after the end of the contract.

Marketing packages are recurring services billed monthly (at the start of each month) or annually (paid in advance, 2 months free). They are separate from any development or hosting contract.

The agreement includes an initial minimum commitment of three (3) months, then renews month to month. After this initial commitment, either party may terminate by written notice (email accepted) with 30 days' notice.

The advertising budget (Google, Meta) is paid directly by the client to the platforms and is never included in management fees. The hours indicated are monthly benchmarks and do not carry over from one month to the next.

The client grants NStudio the necessary access (Google Ads, Meta Business, Google Analytics, Search Console, social media) and remains responsible for the content it approves before publication.

NStudio applies best practices but cannot guarantee a specific result (search rankings, sales volume, reach), as these depend on factors beyond its control. A performance report is provided each month. First results generally appear after 2 to 4 months, and full effect after 6 to 12 months.

No refund is issued for a month already started or for the used portion of an annual package, unless otherwise required by applicable law.

Domain names and professional email are recurring services billed separately from the creation project. The domain renews annually and email is billed monthly.

All prices are in Canadian dollars (CAD). Applicable taxes (GST 5% and QST 9.975%) are added to the amounts shown.

Recurring fees (hosting and maintenance, domain, email) start when the site goes live and are billed separately from the creation project.

Accepted payment methods are bank transfer and Interac e-Transfer.

Any late payment bears interest at 1.5% per month (18% per year), calculated on the unpaid balance from the day after the due date.

For hosting and maintenance: if payment is not received within 30 days of the due date, NStudio may suspend the services without further notice. For marketing: suspension is possible after 15 days of delay. Reinstatement is conditional on full payment of the amount due, including applicable late fees.

For installment payment of a project, a delay of more than 10 days on a payment suspends the work; the site is neither transferred nor published until the total balance is paid.

The client becomes the owner of the design and final content of its site once the creation project is paid in full. The hosting and maintenance contract does not change this ownership.

NStudio retains ownership of its templates, tools, methods, models and internal developments, unless otherwise agreed in writing.

No transfer of files, domain name or access is carried out while a balance remains unpaid.

Content produced specifically for the client as part of marketing services belongs to the client once paid.

Creation: if the client cancels after work has begun, the deposit is non-refundable.

Hosting and maintenance: the client may terminate at any time by written notice. No prorated refund is issued for the period already paid, unless otherwise required by law. NStudio stops the services within 15 days of receiving the notice and returns access to the client if all payments are up to date. NStudio may terminate if the client breaches its obligations, after 15 days' notice without resolution.

Marketing: after the initial 3-month commitment, either party may terminate with 30 days' written notice. At the end of the agreement, NStudio returns access and the content produced to the client, if all payments are up to date.

NStudio undertakes to keep the subscribed services operational within the reasonable limits of its control.

NStudio cannot be held responsible for service interruptions caused by third parties (hosting providers, domain registrars, advertising platforms), cases of force majeure, or changes in the policy, pricing or algorithm of third-party platforms (Google, Meta, etc.).

The client is responsible for providing, within the agreed deadlines, the information, access and content necessary to carry out and maintain the services.

NStudio processes personal information in accordance with applicable Quebec legislation, in particular Law 25. The methods of collection, use and retention are detailed in the privacy policy available on the site.

These Terms and any related contract are governed by the laws of the province of Quebec. The parties agree to submit any dispute to the competent courts of Quebec.

NStudio may amend these Terms at any time. The version applicable to an order is the one in effect on the date of that order. For recurring services, any change is communicated at least 30 days in advance, and payment of the invoice following this notice constitutes acceptance of the new terms.
